I have reasons to believe that you have a file infector onboard.
Please visit this website - http://virusscan.jotti.org
Submit the file for a comprehensive scan & then post the results back here.

C:\Windows\system32\cmd.exe

If it's virut, you need to wipe the machine immediately. Do not connect this machine to another one for you will infect that one too

This is Polipos > http://onecare.live.com/standard/en-us/virusenc/VirusEncInfo.htm?VirusName=Virus:Win32/Polip.A

Most of your system files have been compromised. If a security program tries to fix them, this will cause the machine to fail to boot.

I recommend that you back up your files. Do not back up any executable files. You may back up documents, pictures & music files. Burn them to a dvd/cd. If possible, do not transfer the files to another machine. Do a complete wipe of this machine & reinstall. It would be prudent to perform some scans on the backup files before restoring them. You do not want a repeat of this.
